TERMS AND CONDITIONS OF ZAVOD

THIS AGREEMENT GOVERN YOUR RELATIONSHIP WITH LANCELOT DEVELOPMENT LTD., A COMPANY REGISTERED IN ACCORDANCE WITH LEGISLATION OF ST. VINCENT AND THE GRENADINES WITH ITS REGISTERED OFFICE AT SUITE 305, GRIFFITH CORPORATE CENTRE, KINGSTOWN, ST. VINCENT & THE GRENADINES (HEREINAFTER REFERRED AS “COMPANY”, “WE”) AND USE OF TELEGRAM MINI APP “ZAVOD” (HEREINAFTER REFERRED AS “ZAVOD”). YOU MAY USE ZAVOD ONLY ON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN. PLEASE READ THESE TERMS CAREFULLY BEFORE USING ZAVOD SINCE USING ZAVOD YOU ACCEPT IT. IF YOU DO NOT ACCEPT THESE TERMS (“TERMS AND CONDITIONS OF ZAVOD”), DO NOT USE ZAVOD.

GENERAL TERMS AND ACCEPTANCE OF THIS AGREEMENT

1. By accessing and using ZAVOD you agree to be bound by the following Terms and Conditions of ZAVOD, Terms of Use of Service and all terms and conditions contained and/or referenced herein or any additional terms and conditions set forth in Service, including ZAVOD, and all such terms shall be deemed accepted by you. If you do NOT agree to all these Terms, you should NOT use ZAVOD.

2. The Company can block access or restrict certain features of ZAVOD as described in Terms of Use of the Service.

ENTIRE AGREEMENT

1. These Terms are in addition to the Terms of Use of Service. Where inconsistent with Terms of Use of Service, these Terms are applied. Everything that is not regulated by these Terms is governed by the Terms of Use of the Service.

AMENDMENTS

1. These Terms may be modified, amended or even canceled at any time. The Company may notify you by one or more of the following means: by sending a notification through ZAVOD at or after you login to your Account, by sending a message in the Telegram Bot MDAO Telegram Wallet, by sending an email to the address you provided, or by written mail communication to the address on record for your Account. Failure to provide or maintain accurate or current contact information by you will not release you from responsibility to comply with these Terms as amended from time to time. Please check the Terms published on the Service regularly to ensure that you are aware of all terms governing your use of ZAVOD.

DEFINITIONS

1. The following definitions and rules of interpretation apply in this Agreement:

«Account»	A set of protected pages created as a result of the User registration in the ZAVOD, using which the User can purchase Toolkit and Workbench, complete Missions, receive ZP, create or join Labor Unions, etc.
«Agreement», «Terms and Conditions of ZAVOD», «these Terms»	The present Agreement between you (User) and the Company.
«ZAVOD»	Has the meaning specified in the Preamble, the part of the Service as such term is described in Terms of Use of the Service.
«Company»	Lancelot Development Ltd., a company registered in accordance with legislation of St. Vincent and the Grenadines with its registered office at Suite 305, Griffith Corporate Centre, Kingstown, St. Vincent & the Grenadines.
«E-wallet»	An electronic in-game wallet that can be opened in Account in order to conduct ZP transactions. This E-wallet is not a bank account, e-money account or cryptocurrency wallet.
«Labor Union»	An association of Users requiring payment of ZP dues, aimed at obtaining bonuses and ZP Multiplier.
«Multiplier»	The mechanics that allow you to multiply the amount of ZP credited. You can get a ZP Multiplier by joining a Labor Union, using a Helmet or passing and completing tasks in mini-games.
«Parties»	You (User) and the Company (We).
«Privacy Policy»	Rules of collection, storage, distribution and protection of personal data that the Company gets from the Users and that is an essential part of the Agreement which text is available at Service.
«Service»	The term is described in Terms of Use of the Service.
«Toolkit», «Workbench», «Helmet»	In-game tools that allow you to increase the amount of ZP received by the User. The Toolkit increases the complexity of the products you make, allowing you more time to stay focused at the workbench. The Workbench allows you to install higher quality machines on it, once you purchase new equipment, the quality of the products increases greatly, which in turn increases your ZP for the products you make. The Helmet allows you to become a Brigade Leader and increase your ZP, including through receiving ZP Multiplier and increasing referral rewards percentage.
«User»	An individual сapable under personal law a natural person or business entity formatted in the appropriate legal form according to local legislation that is eligible to use the Service and has accepted the terms and conditions of the present Agreement with the Company. The Company reserves its right to set forth at any time and upon its own discretion special eligibility conditions or other requirements to certain Users.
«User Account Data»	Personal Data necessary to access and use the Service. The list of collected personal data is available in Privacy Policy.
«ZP»	In-game currency that the User can get for various actions (such as completing Missions, creating products, etc.) and spend in ZAVOD. ZP is also credited to E-wallet.

1. In this Agreement unless the opposite is clear from the context the following rules of interpretation apply.

a) Unless the context otherwise requires, words in the singular shall include the plural and in the plural shall include the singular;

b) Unless the context otherwise requires, a reference to one gender shall include a reference to the other genders;

c) References to clauses and schedules are to the clauses and schedules of this Agreement and references to paragraphs are to paragraphs of the relevant schedule;

d) A reference to any party shall include that party’s personal representatives, successors and permitted assigns;

e) All references to a person include firms, companies, government entities, trusts and partnerships or other or unincorporated body (whether or not having separate legal personality);

f) The term 'including' does not exclude anything not listed;

g) A reference to a statute or statutory provision is a reference to it as amended, extended or re-enacted from time to time;

h) A reference to a statute or statutory provision shall include all subordinate legislation made from time to time under that statute or statutory provision;

i) A reference to writing or written includes fax and e-mail;

j) Any obligation on a party not to do something includes an obligation not to allow that thing to be done;

k) Any words following this Agreement including, include, in particular, for example or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding or following that agreement.

l) Headings of sections are for convenience only and shall not be used to limit or construe such sections. All the sections in this Agreement shall survive any termination or expiration of this Agreement. The rest of terms and definitions that can be found in the text of the Agreement should be interpreted by the Parties according to the legislation of England and Wales and to the general rules of interpretation of such terms accepted in the Internet network.

USER ACCOUNT

1. The use of the Service may require you to create an Account (“Account”) in the Service. You warrant and represent that all information provided when creating such an Account is current, complete, and accurate. You agree to promptly notify the Company of any changes to any information that would cause the information provided upon the Account’s creation to no longer be current, complete or accurate.

2. To create an Account, you can: open the Telegram bot MDAO Telegram Wallet (https://t.me/mdaowalletbot?start=docsru), tap the “Start” button and then tap “ZAVOD” or tap the “Launch app” button and then select “ZAVOD” from the menu.

3. When creating an Account, the Company opens an electronic in-game wallet for you (hereinafter referred as “E-wallet”), where the ZP balance is reflected.

4. Users can create an Account by tapping your referral link. In this case, you get 20% of the amount of ZP received by the invited User after tapping the “Claim” button. Such ZP are credited to you almost immediately after the User taps “Claim”, but no later than one day from the moment of tapping.

5. Everyone who tapped your referral link will be displayed in the “Your Friends” section on the “Friends” page. The total amount of your ZP received from invited Users in the “Tokens received from friends” section on the “Friends” page.

6. The Company may reject creating an Account. The Company shall not be obliged to provide reasons for the rejection. The Company informs a prospective User that its application for Account creating was rejected. The Company may require User to pass additional AML/KYC verifications to use certain features of ZAVOD.

7. The Company may close the Account in accordance with the procedure and on the grounds provided for in the Terms of Use of Service.

TOOLKIT, WORKBENCH AND HELMET

1. Depending on the level of your Toolkit and Workbench, the amount of ZP that you receive may increase. Each level of Toolkit and Workbench corresponds to your grade and new position as described in the applicable pages of ZAVOD. The higher the level, the more often you can tap “Claim” and the more ZP you can get. You can read the conditions for increasing the level as follows: tap the “Toolkit” or “Workbench” button and then “See all levels”. To increase the level tap the “LVL UP” button.

2. You can increase the amount of ZP accrued through the “Helmet” functionality. Golden Helmet owners increase their income from referral rewards (percentage of your Friends' earnings) and ZP Multiplier. You can read the conditions for increasing the level as follows: tap the “Helmet” button and then “See all levels”. To increase the level tap the “LVL UP” button.

LABOR UNIONS

1. You can create your own Labor Union or join an existing one to receive a ZP Multiplier, other bonuses and increase the amount of ZP that you can receive.

2. In a Labor Union, all its members pay ZP dues tapping the “Burn ZP” button. ZP is debited from your E-wallet almost immediately, but no later than one day from the moment of tapping.

3. You can join a Labor Union at any time by tapping the “Join a Labor Union” button. By joining a Labor Union you can receive ZP from a Labor Union (Drop) in accordance with a decision of a certain Labor Union.

4. To create a Labor Union tap “Labor Union” and then “Create”. You can only form your own labor Union if you are not a member of another Labor Union.

5. You can leave a Labor Union at any time. If you decide to leave the Labor Union, your dues will not be refunded, and your ZP Multiplier will be lost.

6. You can close a Labor Union through management settings. Closing a Labor Union resets all your statistics and Users who are considered your employees are left to work independently.

MISSIONS

1. The “Mission” page contains tasks for which you earn ZP. All current Missions are in the “Active” tab and are displayed one after another, if they have not yet been completed. All completed Missions are then moved to the “Completed” tab.

2. You can start the Mission by tapping the “Start” button. After completing the Mission, you can tap “Check” to receive ZP. If the Company finds that you have not completed the Mission, the Mission will not be considered completed and you will not receive ZP.

ZP ACCRUAL

1. ZP is accrued for each unit of production you make with your Toolkit and Workbench, for completing task in mini-games available in ZAVOD, for completing Missions, for other actions specified in these Terms, within one day from the date of completion, unless otherwise specified by the Company.

2. ZP is credited to your E-wallet. In order to receive ZP for completed orders, Missions and other actions indicated in relevant pages of ZAVOD you need to tap “Claim” in your E-wallet.

3. You can tap the “Claim” to receive ZP for completed orders once within a certain time. The time interval varies depending on the level, as specified in clause 14 of these Terms. To read information about the time interval, tap the “See all levels” button.

4. If the Account is closed, the ZP is considered canceled. If the Company finds that you have received ZP in violation of these Terms, the Terms of Use of the Service, the rights and interests of other persons, or through other unlawful actions, the Company has the right to cancel the ZP accrued to you.

PRIVACY POLICY AND PERSONAL INFORMATION

1. The Company has developed a Privacy Policy that governs the use and protection of User’s private information according to the applicable laws and good practices. The full text of the Privacy Policy is made available on the Service.

2. Despite all the security measures implemented by the Company, the User acknowledges that there are certain risks of the Company being attacked by electronic means in order to obtain the private information and that the Company cannot guarantee full protection.

TERM AND TERMINATION

1. The term of this Terms and Conditions (“Term”) shall begin when you start using ZAVOD and shall continue in perpetuity unless otherwise terminated by the Company by written notice. The Company expressly reserves the right to change, suspend or discontinue all services, content, tools offered in ZAVOD or portion thereof, at any time, and may terminate your use of ZAVOD at any time. Without prejudice to any other rights, these Terms will terminate automatically if you fail to comply with any of the limitations or other requirements described herein. Upon any termination or expiration of these Terms, you must immediately cease using ZAVOD including without limitation any use of Company’s trademarks, trade names, copyrights and other intellectual property.

2. WITHOUT LIMITING ANY OTHER REMEDIES, THE COMPANY MAY LIMIT, SUSPEND, TERMINATE, MODIFY, OR DELETE ACCOUNTS OR ACCESS TO ZAVOD OR PORTIONS THEREOF IF YOU ARE, OR THE COMPANY REASONABLY SUSPECTS THAT YOU ARE, FAILING TO COMPLY WITH ANY OF THIS TERMS OR FOR ANY ACTUAL OR SUSPECTED ILLEGAL OR IMPROPER USE OF ZAVOD, WITH OR WITHOUT NOTICE TO YOU. YOU CAN LOSE ACCESS TO YOUR ACCOUNT AS A RESULT OF ACCOUNT TERMINATION OR LIMITATION, AS WELL AS ANY BENEFITS ASSOCIATED WITH YOUR USE OF ZAVOD, AND THE COMPANY IS UNDER NO OBLIGATION TO COMPENSATE YOU FOR ANY SUCH LOSSES OR RESULTS.

3. WITHOUT LIMITING OUR OTHER REMEDIES, WE MAY LIMIT, SUSPEND OR TERMINATE ZAVOD AND USER ACCOUNTS OR PORTIONS THEREOF, PROHIBIT ACCESS TO ZAVOD, AND ITS CONTENT, SERVICES AND TOOLS, DELAY OR REMOVE HOSTED CONTENT, AND TAKE TECHNICAL AND LEGAL STEPS TO PREVENT USERS FROM ACCESSING ZAVOD IF WE BELIEVE THAT THEY ARE CREATING RISK OR POSSIBLE LEGAL LIABILITIES, INFRINGING THE INTELLECTUAL PROPERTY RIGHTS OF THIRD PARTIES, OR ACTING INCONSISTENTLY WITH THE LETTER OR SPIRIT OF OUR TERMS OR POLICIES. ADDITIONALLY, WE MAY, IN APPROPRIATE CIRCUMSTANCES AND AT OUR SOLE DISCRETION, SUSPEND OR TERMINATE ACCOUNTS OF USERS WHO MAY BE REPEAT INFRINGERS OF THIRD PARTY INTELLECTUAL PROPERTY RIGHTS.

4. Termination of your Account can include disabling your access to ZAVOD or any part thereof including any content you submitted or others submitted.

5. UPON TERMINATION OF THIS AGREEMENT YOU WILL NO LONGER BE AUTHORIZED TO USE ZAVOD IN ANY WAY.
