General rules of Initial Wallet Offering events

THESE GENERAL RULES OF INITIAL WALLET OFFERING EVENTS (HEREINAFTER THE “RULES”) GOVERNS CONDUCTING OF IWO PROMOTIONAL EVENTS BY THE COMPANY AND THE PROJECTS IN THE SERVICE, INCLUDING ZAVOD WALLET MINI APP IN TELEGRAM BOT ZAVOD WALLET HTTPS://T.ME/MDAOWALLETBOT (“ZAVOD WALLET NINI APP”) AND WEBSITE HTTPS://MDAOMAKER.COM (“WEBSITE”). CAPITALIZED TERMS USED IN THESE RULES HAVE THE MEANING SPECIFIED IN TERMS OF USE.

Project`s description

1. The Company publishes information about Project, its Project`s token and terms of sale of such Token in the Service on separate page (hereinafter “Informational page of the Project”), provided that such information is provided/drafted solely by the Project. The Company does not audit such information and has no obligation to do so.

2. Despite the fact that the Company may check the Project, its beneficiaries before publishing information about such a Project in the Service, the Company has no obligation to conduct such an investigation. It is your sole responsibility to investigate the information about the Project available in the Service or elsewhere on the Internet before participating in particular IWO of such Project`s Token.

3. The Company disclaims any and all warranties in relation to such information, its true and correctness. In case of any errors, questions, misunderstandings you shall contact the Project directly.

4. The regulatory authorities have not confirmed the accuracy or determined the adequacy of the token sales offering documents. Any representation to the contrary is a criminal offense.

5. Project`s Tokens may constitute securities pursuant to applicable security laws.

6. Project`s Tokens may not be appropriate for, or offered to, investors residing in the United States. The Securities and Exchange Commission (SEC) has warned investors residing in the United States that token sales may constitute securities, and by investing in tokens, investors may be purchasing unregistered securities offerings. US investors who invest may be unable to recover any losses sustained in the event of fraud or theft.

7. You shall consult with your own lawyers, consultants, accountants, and other professionals to understand the risks of participating in such IWO and further sale of Project`s token.

8. Informational page of the Project becomes a part of this Agreement in relation to particular IWO in the part where such page defining the term of the Project`s Token sale, its stages, restrictions and requirements to Users intent to participate in such IWO and purchase further Project`s Tokens, price per Project`s Token.

9. There are some stages in relation to every Project:

A. Private Round:

- Preparation: User can study the project, access the staking functionality or buy tickets to participate in Private Round;

- Private Tickets Distribution (Private Round Distribution of tickets event): Users who stake MDAO Token receive their tickets based on amount of MDAO Tokens staked in Virtual wallet;

- Private Sale: User purchases a Private Round allocation based on his/her/their tickets.

B. Public Round:

- Public Subscription: User subscribes to the Project during Public Round Subscription stage;

- Public Hold: User keep as much MDAO as he/she/they can in his/her/their Virtual wallet. The more MDAO is holded, the more tickets User will get;

- Public Tickets Distribution (Public Round Distribution of tickets event): receipt of tickets based on User's average MDAO balance in your Virtual wallet;

- Public Sale: User purchases a Public Round allocation based on his/her/their tickets.

C. Token Distribution: User receives the Project's tokens to the Virtual wallet in compliance with the Project's vesting terms.

D. Allocation closed: all Users have received Project's tokens in their Virtual wallet according to the Project's vesting terms.

PRIVATE ROUND

Preparation

1. To obtain a right to participate in the Private Round you may stake some MDAO Tokens or purchase tickets.

2. You can only buy a ticket to participate in a certain Project. We can set limits on the number of tickets that one User can purchase. The cost of tickets depends on the Project and is indicated on the corresponding page of the Service.

3. The purchased tickets may be used during Private and Public Rounds. Unused tickets cannot be paid for again in other Projects, they burn out.

4. If you stake some MDAO Token, you automatically participate in the Private Round of any Projects for the term of the stacking. The minimum amount of stacking is set on the relevant page of the Service.

5. We reserve the right to provide a discount on the Service commission if the User stakes a large amount of MDAO Tokens.

6. You are entitled to withdraw your MDAO Token before the Private Round Distribution of tickets event. In this case you will not receive the tickets.

Private Tickets Distribution (Private Round Distribution of tickets event)

1. The Company distributes the tickets among Users who staked some MDAO Tokens in Virtual wallet.

2. Tickets are distributed to Users who stake a certain amount of MDAO Tokens. The Company has the right to independently determine the conditions for distributing tickets (including the duration of the staking period and the number of staked).

3. A certain amount of time will be allocated for the distribution and counting of tickets, after which the User can pay for the tickets.

Private Sale

1. During the Private Sale, you can pay for tickets obtained through staking or purchased tickets. A specific amount of time is allocated for Private Sale, during which you can pay it.

2. You are entitled to pay any number of tickets that are due to you.

3. The ticket price, including commissions, is specified in the Informational page of the Project.

4. To make a payment, you shall deposit the Account with appropriate amount and type of cryptocurrency and then transfer it to the address defined by the Project. The payment of any applicable gas fee is your sole responsibility.

PUBLIC ROUND

Public Subscription

1. To obtain a right to participate in the Public Round, you shall subscribe to the IWO on the Informational page of such Project. By clicking on the “Subscribe” button you unconditionally agree to be bound by these Rules and the terms specified on the Informational page of the Project and confirm your eligibility to participate in such IWO.

2. It may be required by the Project and, so implemented by the Company, to pass AML/KYC verification in accordance with our AML/KYC Policy before subscription to certain IWO. Users shall ensure successful AML verification period on the date he/she/they subscribes to the IWO.

3. We retain a right to annul any of your Subscription to any IWO on our sole discretion or under Project`s demand.

4. You are entitled to withdraw your subscription before the Public Round Distribution of tickets event.

Public Hold

1. After the end of the period of Subscription to particular IWO, the holding stage (Public Hold) is begun.

2. During the Public Hold the system will define how much tickets are due transferred to each User subscribing to the particular IWO.

3. Despite the fact that you are entitled to withdraw any number of MDAO Tokens from your Virtual wallet we strictly recommend not to do so, because after such withdrawal your balance may decrease below the minimum number of MDAО Tokens necessary to participate in the IWO. If at the end of the Public Hold number of MDAO Tokens is less than such minimum number, you lose a right to participate in the IWO.

4. However, you are entitled to deposit additional MDAO Tokens if you believe in the Project and plan to get a right to purchase more Project`s Tokens.

Public Tickets Distribution (Public Round Distribution of tickets event)

1. In the Public Round the Company distributes the tickets among Users subscribed to particular IWO and holding at least a minimum number of MDAO Tokens stored in the Virtual wallet depending on the number of MDAO Tokens stored in the Virtual wallet.

2. The Company has the right to independently determine the conditions for distributing tickets (including the duration of the staking period and the number of staked).

Public Sale

1. During the Public Sale, you can pay for tickets obtained through holding MDAO in your Virtual wallet, as well as tickets received during the Private Round. A specific amount of time is allocated for the Public Sale, during which you can pay for it.

2. You are entitled to pay any number of tickets that are due to you.

3. The ticket price, including commissions, is specified in the Informational page of the Project.

4. To make a payment, you shall deposit the Account with appropriate amount and type of cryptocurrency and then transfer it to the smart-contract address specified on the Informational page of the Project. The payment of any applicable gas fee is your sole responsibility.

TOKEN DISTRIBUTION

1. The Project`s Tokens purchased by the holders of tickets are subject to distribution at the date when all Project`s Tokens available are sold or at the date specified on the Informational page of the Project whichever is earlier. The Project`s Tokens are distributed to such holders` Virtual wallets or in any other way allowed by the Сompany.

2. The Company in any case shall not bear any responsibility for transfer of Project`s Tokens to your Account.

3. You understand and agree that the terms of your purchase of Project`s Tokens are governed by the separate token sale agreement published on the Informational page of the Project or at Project`s website to which the Company is not a party, and the Company shall not enforce the terms of any such agreement, and your compliance therewith is your responsibility. You shall scrutinize such agreement and/or ask your lawyer or other professional to check such an agreement before the purchase of Project`s Tokens. By participating in Project`s Token sale, you unconditionally agree that you are acknowledged about terms of such agreement and agree to be bound by such terms, unless otherwise is specified by the Project in such an Agreement, e.g. if the Project require you to register and account at Project`s website before the purchase of Project`s Token.

4. You agree and acknowledge that Project Tokens will generally be allocated on a “first come, first serve” basis as specified above. So, it is your sole responsibility to purchase the amount of Project`s Tokens that is due for you to purchase in accordance with the particular IWO.

5. You agree that you assume and bear the risk of any and all losses related to your purchase of Project`s Tokens and that you have no right whatsoever to claim damages, specific performance, or compensation in any form from the Company or its affiliates related to your purchase of Project`s Tokens. In the event of any discrepancy in the information reflected in the Service and information on the books and records of the Company, the books and records of the Company shall be final and binding for all purposes, even if this results in losses to you.

ALLOCATION CLOSED

1. The allocation is considered fully completed when all tokens of a particular Project are distributed in accordance with the Project`s vesting terms. Project`s tokens are distributed to the Virtual wallets of the User participating in allocation or in any other way allowed by the Сompany.

Alteration of the Rules

1. The Company retains a right to change the Rules in part or in full at any time provided that such changes shall not be applicable to IWOs for which holding stage is completed on the date of entering into force of new version of the Rules. Despite the fact that the Company will try to notify you by email, or through the Bot, it is Your sole responsibility to check the applicable Rules available on the Service. The Parties may agree on a different procedure for the transfer of Project`s Tokens.

2. The Company and the Project retain a right to change any information contained on the Informational page of the Project at any time before the end of the holding stage.

3. The Company retains a right to terminate these Rules at any time and cease any and all IWOs at its sole discretion at any time upon five (5) days prior written notice to you.
